1. Introduction

Welcome to Cognostrix ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, web application, API, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

These Terms should be read together with our Privacy Policy and Risk Disclaimer.

2. Definitions

  • "Account" means your registered account with Cognostrix.
  • "API" means our Application Programming Interface for programmatic access to forecasts.
  • "Content" means all forecasts, data, text, graphics, and other materials available through the Service.
  • "Forecast" means any prediction, signal, or projection generated by our models.
  • "Subscription" means your access to the Service under a specific tier or agreement.
  • "Order Form" means a written commercial agreement, statement of work, or pilot agreement executed between you and Cognostrix.
  • "User," "you," or "your" means the individual or entity accessing or using the Service.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use the Service.

3.2 Legal Capacity

You must have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3.3 Jurisdiction

The Service is intended for use only where lawful. You are responsible for ensuring that your use of the Service complies with applicable laws in your jurisdiction.

3.4 Not for Professional Advice

The Service does not provide licensed investment advice. If you are subject to fiduciary duties or regulatory requirements, you are responsible for ensuring your use complies with those obligations.

4. Account Registration

4.1 Account Creation

To access certain features, you must create an account with accurate and complete information.

4.2 Account Security

You are responsible for:

  • Maintaining confidentiality of credentials
  • All activities under your account
  • Promptly notifying us of unauthorized access

4.3 One Account Per User

Each user may maintain only one account unless otherwise approved in writing.

4.4 Account Suspension or Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct harmful to the Service or other users.

5. Subscriptions, Pilots, and Payment

5.1 Pricing and Packaging

Pricing, features, and limits may change over time. Public pricing pages and/or executed Order Forms govern commercial terms. If there is any conflict, the Order Form controls.

5.2 Pilot and Enterprise Agreements

If you are participating in a pilot, concierge rollout, or Enterprise subscription, your access and commercial terms may be governed by an Order Form or other written agreement. In case of conflict, that agreement prevails over these Terms.

5.3 Billing

  • Self-service subscriptions are billed monthly in advance
  • Fees are payable in EUR unless otherwise stated in an Order Form
  • Enterprise and pilot customers may be invoiced under agreed terms

5.4 Automatic Renewal

Self-service subscriptions automatically renew unless canceled before the renewal date. Enterprise renewals are governed by the applicable Order Form.

5.5 Cancellation

5.5.1 Self-Service Subscriptions

If you are on a self-service subscription, you may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5.5.2 Pilot and Enterprise Subscriptions

If you are participating in a pilot or Enterprise engagement, cancellation, termination rights, and notice periods are governed by your applicable Order Form or written agreement. These subscriptions may include minimum terms, notice requirements, or other contractual obligations.

5.6 Price Changes

We may change pricing with at least 30 days' notice for self-service subscriptions. Enterprise pricing changes are governed by contract.

5.7 Taxes

You are responsible for all applicable taxes, duties, and levies.

6. Use of the Service

6.1 Permitted Use

You may use the Service for:

  • Personal investment research and decision support
  • Internal business purposes
  • Educational and informational use

6.2 Prohibited Use

You may not:

  • Resell or redistribute forecasts without permission
  • Provide the Service to third parties (except under Enterprise agreements)
  • Provide investment advice using our forecasts without proper licensing
  • Reverse engineer models or algorithms
  • Scrape data beyond API allocations
  • Circumvent access controls
  • Use the Service unlawfully
  • Misrepresent forecasts as guaranteed outcomes

6.3 API Usage

If API access is included:

  • Keep credentials confidential
  • Follow rate limits
  • Excessive usage may result in throttling or suspension

6.4 Data Retention

You may retain forecasts for internal use but may not create competing services or databases.

7. Intellectual Property

7.1 Ownership

We retain all rights in:

  • The Service and its functionality
  • Models and methodologies
  • Trademarks and branding
  • Forecast outputs

7.2 License

We grant a limited, non-exclusive, non-transferable license to use the Service as intended.

7.3 Feedback

Feedback may be used by us without obligation or compensation.

8. Disclaimers

8.1 No Investment Advice

THE SERVICE PROVIDES INFORMATION ONLY AND DOES NOT CONSTITUTE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE.

8.2 No Guarantees

WE DO NOT GUARANTEE ACCURACY, PROFITABILITY, OR SERVICE AVAILABILITY.

8.3 Your Responsibility

You are responsible for decisions, suitability assessments, and due diligence.

8.4 As-Is Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR TRADING LOSSES.

9.2 Liability Cap

TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING 12 MONTHS.

9.3 Essential Basis

LIMITATIONS ARE AN ESSENTIAL BASIS OF THE AGREEMENT.

10. Indemnification

You agree to indemnify and hold harmless Cognostrix from claims arising from:

  • Use of the Service
  • Breach of Terms
  • Regulatory violations
  • Providing advice using our forecasts without proper authorization

11. Privacy

Use of the Service is governed by our Privacy Policy.

12. Changes to Service and Terms

12.1 Service Changes

We may modify or discontinue features at any time.

12.2 Terms Changes

We may update Terms with notice of material changes. Continued use constitutes acceptance.

13. Termination

13.1 By You

You may terminate your account according to your subscription terms.

13.2 By Us

We may suspend or terminate access if:

  • Terms are breached
  • Fraud or illegal use occurs
  • Required by law
  • Service is discontinued

13.3 Effect of Termination

Access ceases and surviving provisions remain effective.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Sweden.

14.2 Informal Resolution

Disputes should first be raised via legal@cognostrix.com.

14.3 Arbitration

Disputes shall be resolved by arbitration under the Arbitration Institute of the Stockholm Chamber of Commerce (SCC). Seat: Stockholm. Language: English.

14.4 Class Action Waiver

Disputes must be brought individually.

14.5 Injunctive Relief

Either party may seek injunctive relief to protect intellectual property.

15. General Provisions

15.1 Entire Agreement

These Terms, Privacy Policy, and Risk Disclaimer form the entire agreement, unless superseded by an Order Form.

15.2 Severability

Invalid provisions do not affect remaining sections.

15.3 Waiver

Failure to enforce is not waiver.

15.4 Assignment

You may not assign without consent. We may assign freely.

15.5 Force Majeure

We are not liable for delays beyond reasonable control.

15.6 Notices

Notices may be provided electronically.

16. Contact Information

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
